ITEM 1.01 ENTRY INTO A DEFINITIVE MATERIAL AGREEMENT
European ABS
On November 8, 2019, International Fleet Financing No. 2 B.V., an indirect, special purpose subsidiary of The Hertz Corporation (“Hertz”), amended its facility agreement (i) to increase the aggregate maximum borrowings from €1.0 billion to €1.1 billion and (ii) to extend the maturity of the European ABS from October 2020 to November 2021, in each case, effective as of November 14, 2019.
ITEM 7.01 REGULATION FD DISCLOSURE
HVF II U.S. Vehicle Medium Term Notes
On November 14, 2019, Hertz Vehicle Financing II LP (“HVF II”) launched an offering of its Series 2019-3 Rental Car Asset Backed Notes, Class A, Class B, Class C, Class D and Class RR (the “HVF II Series 2019-3 Notes”) in an aggregate principal amount of approximately $500 million to third parties. Hertz expects the net proceeds from the issuance and sale of the HVF II Series 2019-3 Notes generally will be used to (i) repay a portion of the outstanding principal amount of HVF II’s Series 2013-A Variable Funding Notes and/or (ii) make loans to Hertz Vehicle Financing LLC, a wholly-owned special purpose subsidiary of Hertz. The offering of the HVF II Series 2019-3 Notes is subject to market and other conditions, and such notes are being offered solely by way of the confidential offering circular related thereto.

Each of Hertz Global Holdings, Inc. and Hertz is filing as Exhibit 99.1 hereto a press release issued on November 14, 2019 by HGH, announcing the proposed private offering by Hertz, an indirect, wholly-owned subsidiary of HGH, of $750 million in aggregate principal amount of senior unsecured notes due 2028 (the “Notes”). Hertz Global Holdings Announces Proposed $750 Million Private Offering of Senior Notes by The Hertz Corporation
ESTERO, Fla., November 14, 2019 /PRNewswire/ -- Hertz Global Holdings, Inc. (NYSE: HTZ) (the “Company”) today announced that its wholly-owned subsidiary, The Hertz Corporation (“Hertz”), intends to offer $750 million aggregate principal amount of senior unsecured notes due 2028 (the “Notes”), subject to market and other conditions, in a private offering (the “Offering”) exempt from the registration requirements of the Securities Act of 1933, as amended (the “Securities Act”).
The Notes will pay interest semi-annually in arrears. The Notes are expected to be guaranteed on a senior unsecured basis by the domestic subsidiaries of Hertz that guarantee its senior credit facilities from time to time.
Hertz intends to use the proceeds from the issuance of the Notes, together with available cash (if necessary), to redeem an amount (including premium and accrued but unpaid interest thereon) of Hertz's 7.625% Senior Secured Second Priority Notes due 2022 (the “Senior Secured Second Priority Notes”) approximately equal to the net proceeds from the issuance of the Notes and pay premiums and accrued and unpaid interest in connection therewith and related transaction fees and expenses.
